Welcome to JOYWORLD (joy.world). These Terms of Service (“Terms”) govern your access to and use of the JOYWORLD website, its sub-pages and applications, and all the services described below. By accessing or using JOYWORLD, you agree to these Terms. If you do not agree, please do not use the platform.

1. Operating Entities

JOYWORLD is run by a small family of operating entities. The brand is owned by one company and licensed to the others, each of which operates a specific part of the platform. Each entity is independently responsible for the part of the platform it operates.

JOYWORLD LLC (Wyoming)

JOYWORLD LLC, a Wyoming limited liability company located at 30 N Gould St Ste N, Sheridan, WY 82801, owns the JOYWORLD brand — including the JOYWORLD wordmark, the names “JOY,” “JOYsmiley,” “Scrambler,” “JOYtoy,” “JOYchat,” the underlying artwork copyright (subject to the NFT License), and the JOYWORLD universe. JOYWORLD LLC licenses the brand to the operating entities below.

JOYweb LLC (Florida)

JOYweb LLC, a Florida limited liability company located at 7901 4th St N Ste 300, St. Petersburg, FL 33702, operates the digital side of joy.world: account login (email + wallet), wallet verification, NFT display, the HotJOY auction smart contract, JOYchat, and any other feature on the digital platform. JOYweb’s scope is digital goods and crypto — no physical merchandise, no sales tax.

JOYworkshop LLC (Florida)

JOYworkshop LLC, a Florida limited liability company located at 7901 4th St N Ste 300, St. Petersburg, FL 33702, operates the physical side: the JOYshop (the Shopify-powered storefront on joy.world), the production and supply of physical art objects, and studio space rental. JOYworkshop is registered with the Florida Department of Revenue and collects and remits applicable sales tax. The digital and physical operations are intentionally separated — JOYweb handles bits, JOYworkshop handles atoms.

JOYware LLC (Florida)

JOYware LLC, a Florida limited liability company located at 7901 4th St N Ste 300, St. Petersburg, FL 33702, operates the Apple App Store applications (currently Scratch for Apple Watch and Scribble for Apple Vision Pro) and any associated hardware prototyping. Information about these apps is at joy.world/joyware.

Throughout these Terms, “we,” “us,” and “our” refer collectively to JOYWORLD LLC and its operating affiliates as appropriate to the section. Where a specific entity is responsible for a feature, that entity is named.

2. Eligibility

You must be at least 13 years of age to use JOYWORLD. If you are under 18, you represent that you have your parent or guardian’s permission. By using JOYWORLD, you represent that you have the legal capacity to enter into these Terms.

3. Accounts & Wallet Connection (operated by JOYweb)

JOYWORLD lets you create an account with an email + password, sign in with an Ethereum wallet (Sign-In with Ethereum / SIWE), or both. You can link multiple wallets to one account. Account, wallet verification, and session management are operated by JOYweb LLC.

• You are responsible for safeguarding your password, your wallet’s private keys, and your seed phrase. We do not store any of these.
• We are not liable for losses arising from unauthorized access to your wallet or email account.
• Your public wallet address and ENS name (if any) may appear publicly on collector profiles, leaderboards, JOYchat, and auction history.
• You may detach a wallet from your active session at any time without removing it from your account; you may also fully unlink a wallet from your account.

4. Browsing & Collections

JOYWORLD lets you browse, search, and explore digital art collections including JOYs, JOYsmilies, Scramblers, and JOYtoys. All artwork was hand-sculpted in virtual reality by artist John Orion Young. Browsing does not require an account or wallet connection.

5. NFT Ownership & the JOYWORLD Open Art License

Ownership and use of the artwork associated with JOYWORLD NFTs are governed by the JOYWORLD Open Art License, not by these Terms. In short:

• You own the NFT.
• You own the Art associated with the NFT — full copyright, with no caps and no royalties due to JOYWORLD.
• JOYWORLD LLC retains a license back to use the Art for marketing and the JOYWORLD universe.
• JOYWORLD’s trademarks (the JOYWORLD wordmark, “JOY,” “JOYsmiley,” etc.) are not assigned to NFT owners and remain JOYWORLD LLC’s property.

6. HotJOY Market & Auctions (operated by JOYweb)

The HotJOY Market is an on-chain auction system operated by JOYweb LLC. You bid in ETH; auctions are executed by the HotJOY smart contract on Ethereum mainnet. By participating:

• All bids are executed via smart contract and are irreversible once confirmed on-chain.
• You are responsible for ensuring you have sufficient ETH and gas to complete your transaction.
• Winning a bid obligates you to complete the transaction. The smart contract automatically settles the trade.
• Auction rules, timing, and mechanics are set by the deployed HotJOY smart contract; the on-chain code is the final authority.
• JOYweb is not responsible for failed transactions, gas spikes, or losses caused by blockchain network conditions, third-party wallets, or third-party RPC providers.
• Bid messages are publicly visible on JOYchat and in auction history.

7. JOYshop & Merchandise (operated by JOYworkshop)

The JOYshop sells physical artworks — toys, prints, apparel, and other handmade or short-run art objects. The shop is operated by JOYworkshop LLC and powered by Shopify. JOYworkshop is registered with the Florida Department of Revenue and collects and remits applicable sales tax (Florida and any other jurisdictions where it has tax obligations); your order subtotal at checkout reflects the tax for your shipping destination.

7.1 Final Sale — you are buying art

All sales through the JOYshop are final. The items you buy are art objects, often handmade or produced in small batches by independent makers. They are not mass-market consumer products and they are not warranted, certified, or guaranteed to perform any function. By placing an order, you acknowledge and agree to the following:

• No returns. No refunds. No exchanges. Once an order is placed, JOYworkshop is under no obligation to accept returns, issue refunds, or exchange items, regardless of reason.
• Art is fragile and imperfect. Items may arrive with visible variation, finish marks, minor defects, or limited durability. These are characteristics of handmade art, not defects to be remedied.
• Art may break. Items may break, deteriorate, fade, melt, crack, peel, oxidize, or fail in any other way over time or in use. JOYworkshop bears no responsibility for any such failure and has no obligation to repair, replace, or compensate you.
• No warranty — express, implied, or otherwise. All items are sold strictly AS-IS and WITH ALL FAULTS. To the maximum extent permitted by law, JOYworkshop disclaims all warranties of any kind, including warranties of merchantability, fitness for a particular purpose, durability, performance, and non-infringement.
• Risk of loss transfers at shipment. Once an item is handed off to the carrier, the risk of loss or damage in transit is yours, not JOYworkshop’s. We are not responsible for lost, stolen, damaged, or undelivered shipments.
• Not for children, not for safety-critical use. JOYshop items are art objects intended for display and adult collection. They are not toys, safety equipment, or food-contact items unless explicitly labeled as such, and they should not be used by children without supervision.

JOYworkshop may, at its sole and absolute discretion, occasionally help with replacements or other accommodations as a courtesy. Any such help is voluntary and does not establish a refund policy, warranty, course of dealing, or future obligation.

7.2 Other JOYshop terms

• Payment information is handled entirely by Shopify; JOYworkshop does not see or store payment cards.
• Cart contents are stored locally on your device and in our database to provide a seamless shopping experience.
• JOYworkshop reserves the right to cancel orders, limit quantities, refuse service, or correct pricing errors at its discretion.
• Pricing, availability, shipping options, and delivery times are subject to change without notice.

8. JOYchat (operated by JOYweb)

JOYchat is a community feed available to JOYWORLD NFT collectors and operated by JOYweb LLC. Posts are attributed to a wallet address and may include text, emoji, and standard reactions. By posting:

• You confirm the post is yours and you have the right to publish it.
• Your wallet address (and display name and PFP, if you set them on your account) appear publicly with the post.
• Posts may be visible indefinitely; some posts may auto-expire on a timer if you set one.
• JOYweb may moderate, hide, or remove content that is illegal, abusive, fraudulent, or otherwise harmful at its discretion.
• You are responsible for what you post.

9. Apple App Store Apps (operated by JOYware)

JOYware LLC publishes Apple App Store apps under the JOYWORLD brand, currently Scratch (Apple Watch) and Scribble (Apple Vision Pro). Use of those apps is governed by their respective in-app terms and by Apple’s applicable platform terms. Information and support are at joy.world/joyware.

10. Search, Discovery & Display Preferences

JOYWORLD provides search, JOY of the Day, trending content, leaderboards, mood/weather cards, and Light / Dark / JOY display modes. Search queries are processed in real time and not stored long-term. Theme preference is stored locally in your browser only. These features are provided as-is for entertainment.

11. Collector Profiles & Leaderboards

JOYWORLD displays collector profiles and leaderboards based on public Ethereum blockchain data: wallet addresses, ENS names, and NFT holdings. This information is publicly visible on the blockchain and displayed on JOYWORLD for community and transparency. If you own JOYWORLD NFTs, your wallet, ENS, and holdings may appear on these surfaces.

12. Third-Party Services

JOYWORLD integrates third-party services. Your use of those services is also subject to their own terms and policies:

• Shopify — e-commerce, payments, fulfillment infrastructure (JOYshop)
• Resend — email delivery for account flows
• Supabase — database, authentication, file storage
• Alchemy — Ethereum RPC and indexing
• WalletConnect — wallet connection protocol
• Pinata / IPFS — decentralized media storage
• Apple — App Store distribution for JOYware apps
• Browser-injected wallets (e.g. MetaMask, Rainbow, Coinbase Wallet)

13. Blockchain & Smart Contract Risks

By using any web3 feature operated by JOYweb, you acknowledge:

• Blockchain transactions are irreversible. We cannot reverse, cancel, or refund on-chain transactions.
• Smart contracts may contain bugs or vulnerabilities even with best efforts and audits.
• NFT and cryptocurrency values are volatile and may decrease to zero.
• Network congestion may cause delays or unpredictable gas fees.
• You are solely responsible for understanding the risks of blockchain technology and digital assets.

14. Prohibited Conduct

You agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable law.
• Interfere with, compromise, or disrupt the platform or its smart contracts.
• Use bots, scripts, or automated tools to interact with the platform without permission.
• Engage in wash trading, market manipulation, or fraudulent bidding.
• Impersonate another user, wallet, or entity.
• Scrape, copy, or reproduce content beyond what the NFT License or fair-use law allows.
• Reverse engineer, decompile, or extract source code from the platform.

15. Disclaimers

JOYWORLD and every service operated by JOYWORLD LLC, JOYweb LLC, JOYworkshop LLC, and JOYware LLC are provided as-is and as-available, without warranties of any kind, whether express or implied, including (but not limited to) warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted, error-free, or secure operation.

16. Limitation of Liability

To the maximum extent permitted by law, JOYWORLD LLC, JOYweb LLC, JOYworkshop LLC, JOYware LLC, and their respective officers, members, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, data, NFTs, cryptocurrency, goodwill, or other intangible losses, arising out of or related to your use of the platform.

For each entity, that entity’s total aggregate liability arising from your use of the part of the platform it operates shall not exceed the greater of (a) what you paid that entity directly in the twelve months preceding the claim or (b) one hundred US dollars ($100).

17. Indemnification

You agree to indemnify, defend, and hold harmless JOYWORLD LLC, JOYweb LLC, JOYworkshop LLC, JOYware LLC, and their respective officers, members, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the platform, your violation of these Terms, or your infringement of any rights of a third party.

18. Governing Law & Disputes

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of laws principles. Any dispute arising out of or related to these Terms shall be resolved exclusively in the state or federal courts located in Wyoming, and you consent to personal jurisdiction in those courts. Where a dispute relates specifically to a JOYshop purchase, JOYworkshop may also bring or defend claims in the state or federal courts of Florida.

19. Changes to These Terms

We may update these Terms from time to time. When we make changes we update the “Last updated” date at the top. Continued use of JOYWORLD after a change constitutes your acceptance of the revised Terms. Material changes will be highlighted on the site or by email where reasonable.
